This website and store (the “Site”) are operated by NABAT Labs (“NABAT Labs”, “we”, “us”, or “our”). Throughout the Site, “you” and “your” refer to users, customers, browsers, and contributors of content.

By visiting the Site and/or purchasing from us, you engage in our “Service” and agree to be bound by these Terms & Conditions (“Terms”), including any policies referenced here or available by hyperlink (e.g., our Privacy Policy and Return & Refund Policy). If you do not agree to the Terms, do not access or use the Site.

Our store is hosted by Shopify Inc., which provides the e-commerce platform that enables us to sell our products and services to you.

1) Online Store Terms

By using the Site, you confirm you are at least the age of majority in your jurisdiction (or you have parental consent for a minor dependent to use the Site). You may not use our products for any unlawful or unauthorized purpose, and you must comply with all applicable laws.

You must not transmit worms, viruses, malware, or destructive code. A breach of any Term will result in immediate termination of your access to the Service.

2) General Conditions

We reserve the right to refuse service to anyone, for any reason, at any time. Content you submit (excluding payment details) may be transferred unencrypted across networks and adapted to technical requirements. Payment information is always encrypted in transit.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission.

3) Accuracy, Completeness & Timeliness of Information

Information on the Site is provided for general purposes only. We are not responsible if information is inaccurate, incomplete, or not current. Historical information is provided for reference. We may modify Site content at any time with no obligation to update. You agree it is your responsibility to monitor changes.

4) Modifications to the Service & Prices

Product prices and availability may change without notice. We may modify or discontinue the Service (or any part thereof) at any time. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance.

5) Products & Services

Some products may be available exclusively online and may have limited quantities. Returns and exchanges are governed by our Return & Refund Policy.

We attempt to display product colors and images accurately; we cannot guarantee your device’s display will be accurate.

We may limit sales of products or Services to any person, geographic region, or jurisdiction; limit quantities; and discontinue products at any time. Any offer is void where prohibited.

We do not warrant that the quality of any products, services, or content will meet your expectations, or that errors will be corrected.

6) Accuracy of Billing & Account Information

We reserve the right to refuse any order. We may limit or cancel quantities per person, household, or order (including orders using the same account, payment card, billing, or shipping address). If we change or cancel an order, we may attempt to notify you using the email and/or billing contact provided at purchase. We may reject orders that appear to be placed by dealers, resellers, or distributors.

You agree to provide current, complete, and accurate purchase and account information and to promptly update details for future transactions.

7) Optional Tools

We may provide access to third-party tools “as is” and “as available,” without warranties or endorsements. We have no liability arising from your use of such tools. Your use is at your sole risk, and you should review the third-party provider’s terms.

We are not responsible for examining or evaluating the content or accuracy of third-party materials and assume no liability for them. Complaints or questions regarding third-party products should be directed to the third party.

9) User Content (Comments, Feedback, Submissions)

If you send creative ideas, proposals, plans, or other materials (collectively, “Comments”), you agree that we may edit, copy, publish, distribute, translate, and otherwise use them in any medium, at any time, without obligation to (1) keep them confidential, (2) compensate you, or (3) respond.

We may (but have no obligation to) monitor, edit, or remove content we determine to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or that violates any party’s intellectual property or these Terms.

You agree your Comments will not violate any third-party rights or contain unlawful, abusive, or malicious content or malware. You are solely responsible for your Comments.

10) Personal Information

Your submission of personal information through the store is governed by our Privacy Policy.

11) Errors, Inaccuracies & Omissions

From time to time there may be information on the Site that contains typographical errors, inaccuracies, or omissions (e.g., product descriptions, pricing, promotions, shipping charges, transit times, and availability). We may correct or update information or cancel orders if any information in the Service or on the Site is inaccurate at any time without prior notice.

We undertake no obligation to update any information except as required by law.

12) Prohibited Uses

In addition to other prohibitions set out in the Terms, you are prohibited from using the Site or its content: (a) for unlawful purposes; (b) to solicit unlawful acts; (c) to violate international, federal, state, provincial, or local laws; (d) to infringe intellectual property rights; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate; (f) to submit false or misleading information; (g) to upload malicious code; (h) to collect or track personal information; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for obscene or immoral purposes; or (k) to interfere with security features of the Service or the Internet. We may terminate your use of the Service for violating any prohibited use.

13) Shipping, Risk of Loss & Delivery Issues

Shipping times are estimates and may be affected by carrier delays, customs, peak seasons, or force majeure. Title and risk of loss pass to you upon our delivery of the order to the carrier. If your order is delayed, lost, or marked delivered but not received, please contact the carrier first; if unresolved, contact us and we will assist with a carrier investigation. 14) Warranty Disclaimer; Limitation of Liability

Except as expressly stated by us in writing, the Service and all products are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

To the fullest extent permitted by law, NABAT Labs and our directors, officers, employees, affiliates, agents, contractors, suppliers, and licensors shall not be liable for any indirect, incidental, punitive, special, or consequential damages; lost profits, revenue, savings, or data; replacement costs; or similar damages arising from your use of the Service or any products, even if advised of the possibility. Our total liability for any claim will not exceed the amount you paid to NABAT Labs for the product(s) giving rise to the claim in the twelve (12) months preceding the event.

Some jurisdictions do not allow exclusion or limitation of certain damages; in such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

15) Indemnification

You agree to indemnify, defend, and hold harmless NABAT Labs and our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or third-party rights.

16) Intellectual Property

All content on the Site (including text, graphics, logos, icons, images, video, audio, and software) is owned by or licensed to NABAT Labs and is protected by intellectual property laws. You may not use, reproduce, distribute, or create derivative works without our prior written consent.

17) Returns, Refunds & Cancellations

Order modifications or cancellations generally cannot be accommodated once submitted because fulfillment begins immediately. Returns, refunds, performance guarantees, and eligibility requirements (e.g., timeframes, photo documentation) are governed by our Return & Refund Policy, which is incorporated by reference.

18) Dispute Resolution; Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles (you can ask me to change this to a different state).

Binding Arbitration & Class-Action Waiver (US customers):
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration before a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association (AAA). You and NABAT Labs waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration clause by emailing contact.nabatlabs@gmail.com within 30 days of your first purchase with the subject line “Arbitration Opt-Out”.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction for intellectual property or data security misuse.

19) Termination

These Terms are effective unless and until terminated by either party. You may terminate by ceasing use of the Site. We may terminate or suspend access immediately for any breach. Obligations incurred prior to termination survive termination.

20) Entire Agreement; Severability; No Waiver

These Terms and any policies posted on the Site constitute the entire agreement between you and NABAT Labs and supersede prior agreements. If any provision is deemed unlawful or unenforceable, it shall be severed without affecting the validity of the remaining provisions. Our failure to enforce any right does not constitute a waiver.

21) Changes to Terms

We may update these Terms by posting a revised version on the Site with an updated “Last updated” date. Your continued use of the Site constitutes acceptance of the changes.

NABAT LABS — SMS/MMS Marketing Terms (TCPA/CTIA-Compliant)

By opting into NABAT Labs’ SMS/MMS marketing program (the “Messaging Service”), you agree to these SMS Terms, in addition to our Terms & Conditions and Privacy Policy.

1. Consent & Opt-In
   By providing your mobile number and opting in (e.g., via checkout, web form, checkbox, or text keyword), you consent to receive automated promotional and transactional texts (SMS/MMS) from NABAT Labs. Message frequency varies.

2. Opt-Out
   You can opt out at any time by replying STOP to any message. You will receive one final message confirming your opt-out. To resume, opt in again via our web form or other available method.

3. Help

4. Message & Data Rates
   Message and data rates may apply. Check your carrier plan for details. Carriers are not liable for delayed or undelivered messages.

5. Supported Carriers
   The Messaging Service is supported by most major U.S. carriers; service availability depends on your carrier and device.

6. Privacy & Data Use
   We respect your privacy. We collect and use your phone number and messaging data in accordance with our Privacy Policy. We do not sell your phone number.

7. Eligibility
   You must be the account holder or have permission from the account holder to enroll the number. You must be at least the age of majority in your jurisdiction.

8. Prohibited Use
   You may not use the Messaging Service for unlawful purposes, harassment, or sending unauthorized content.

9. Changes
   We may modify or discontinue the Messaging Service or these SMS Terms at any time. Continued use after changes constitutes acceptance.

10. Disputes
    Any disputes relating to these SMS Terms are subject to the arbitration and governing law sections of our Terms & Conditions.
